Background and ownership

Knowledge Transfer Networks (KTNs) were an initiative of the UK DTI and are now managed by the Technology Strategy Board (TSB). Each KTN acts in the public good, with the objective of improving the depth and breadth of technological knowledge in a specific subject among UK industry, using a common online platform, which is centrally managed.

There are a number of KTNs, each operated by a host organisation, or a consortium of such organisations, under a contract with TSB. The Creative Industries KTN is the UK’s National Knowledge Transfer Network for the Creative Industries.

 

Terms of website use

This page (together with the documents referred to on it) sets out the terms of use on which you may make use of our website innovateuk.org & creativeindustriesktn.org ("our site"), whether as a visitor, a guest or a registered user (“you”).
Please read these terms of use carefully before you start to use the site. By entering our site, you accept these terms of use and agree always to act in accordance with them. If you do not agree to these terms of use, please refrain from using our site.

Information about us

innovateuk.org & creativeindustriesktn.org is a site operated by the Technology Strategy Board (“TSB”, “us”, "we" or “our” and including our directors, employees and other representatives). We are a company registered by Royal Charter in England and Wales under company number RC000818. Our principal place of business is at North Star House, North Star Avenue, Swindon, SN2 1UE.
We were established by the Government of the United Kingdom (the “Government”) and operate at arms length as a business-led executive non-departmental public body. We are sponsored and funded by the Department for Business, Innovation and Skills and any successor body.

Accessing and updating our site

Access to our site is permitted on a temporary basis and we reserve the right to withdraw, suspend or amend the service that we provide on our site without notice (see below). We will not be liable if for any reason our site is unavailable at any time.
We aim to update our site regularly, and may change the content at any time. Any of the material on our site may be out of date at any given time, and we are under no obligation to update such material.
From time to time, we may restrict access to some parts of our site or to our site in its entirety to users who have registered with us.
If you choose, or you are provided with, any user identification code, password or any other piece of information used as part of our security procedures (the “identity credentials”), such information must be treated as confidential and must not be disclosed to any third party. We have the right, at any time, to disable any identity credentials, whether chosen by you or allocated by us if in our opinion you have failed to comply with any of these terms of use. When using our site, you must comply with the provisions of our acceptable use policy.
You are responsible for making all arrangements necessary to enable you to have access to our site. You are also responsible for ensuring that all persons who access our site using the identity credentials are authorised to do so, are aware of these terms, and comply with such terms at all times.

Intellectual property rights

The TSB owns all intellectual property rights contained in works on our site and which are created by or on behalf of us. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
Save for those works which are explicitly expressed to be subject to pre-existing copyright protection (for example, by stating “© [name of user] [insert year]. All rights reserved.”) and which are submitted to the website by users, the TSB is granted an exclusive licence by the licensor to exploit all intellectual property rights in such works and in the material published on our site. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way from our site, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
Our status (and that of any identified contributors) as the authors of material on our site must always be acknowledged by using the following wording: “© Technology Strategy Board [insert year]. All rights reserved.” (or similar wording in the case of identified contributors).
You must not use any part of the materials on our site for commercial purposes without first obtaining a licence to do so from us or our licensors.
If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Our liability

The material displayed on our site is provided without any guarantees, conditions or warranties as to its accuracy. Your use of our site and its contents shall be at your sole risk.
To the fullest extent permitted by law, we, and third parties that are from time to time connected to us, hereby expressly exclude:
all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity;
any liability for any direct, indirect or consequential loss or damage incurred by you in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it, including, without limitation any liability for:
loss of income or revenue;
loss of business;
loss of profits or contracts;
loss of anticipated savings;
loss of data;
loss of goodwill;
wasted management or office time; and
for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
Links to third party websites are provided solely for your convenience and we do not accept any responsibility or liability for their operation or content.
This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.
In the event that this disclaimer and exclusion of liability is held by a court of law to be ineffective, our maximum aggregated liability shall not exceed £1.00 (one pound sterling).
Information about you and your visits to our site
We process information about you in accordance with our privacy policy. By using our site, you consent to such processing and you warrant that all data provided by you is accurate.

Freedom of information

As an agency of the Government, the TSB is bound by the terms of the Freedom of Information Act 2000 (“FOIA”) or such later revisions of the Act. All information held, received or transmitted by the TSB is potentially subject to public disclosure.
You are advised to consider the potential impact of public disclosure when adding content to our site.
Notwithstanding any duty of confidentiality that might exist between the TSB and you, you accept and agree that all information and communications exchanged between you and the TSB may be subject to public disclosure under the FOIA, and that the TSB shall have no liability whatsoever to you arising from any disclosure of information it is required to make under the FOIA.
In the event that a request is received by the TSB for disclosure under the FOIA of any of your information held on our site, the TSB shall use reasonable efforts to notify you and allow you to make arguments under the terms of the FOIA as to why such information should not be disclosed. You accept that receipt of such arguments does not mean that disclosure will not occur. The FOIA places strict time limits on the TSB to respond to any FOIA request, and the TSB shall have no liability whatsoever to you arising from your failure to respond to any FOIA notification from the TSB within the time limits stated in that notification.

Uploading material to our site

Whenever you make use of a feature that allows you to upload material to our site, or to make contact with other users of our site, you must comply with the content standards set out in our acceptable use policy. You warrant that any such contribution does comply with those standards and you indemnify us for any breach of that warranty.
Save for those works which are explicitly expressed to be subject to pre-existing copyright protection and which are submitted to the website by users, any material you upload to our site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.
We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of our site.
We have the right to remove any material or posting you make on our site if, in our opinion, such material does not comply with the content standards set out in our acceptable use policy.

Viruses, hacking and other offences

You must not misuse our site by introducing (whether knowingly or not) any material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of-service attack.
By breaching this provision, you could be committing a criminal offence under the Computer Misuse Act 1990 and/or could be acting negligently, giving rise to a claim in the civil courts. We will report any potentially criminal acts to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such an occurrence, your right to use our site will cease immediately. In the event of any other breach of this provision, we reserve the right to terminate your right to use our site.
We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

Linking to our site

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
Our site must not be framed on any other site. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in our acceptable use policy.

Jurisdiction and applicable law

The English courts will have non-exclusive jurisdiction over any claim arising from, or related to, a visit to our site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.
These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

Acceptable use policy

This acceptable use policy sets out the terms between the Technology Strategy Board (“TSB”, “we”, “us” or “our”) and all of its website users, guests and visitors (“you”) under which you may access our website innovateuk.org & creativeindustriesktn.org (“our site”).
Your use of our site means that you accept and agree to abide by all the terms of this acceptable use policy, which supplement our terms of website use.

Prohibited uses

Content standards

These content standards (the “standards”) apply to any and all material which you contribute to our site (“contributions”), and to any interactive services associated with it.
You must comply with the spirit of the standards as well as the letter. The standards apply to each part of any contribution as well as to its whole.
Contributions must:
be accurate (where they state facts);
be genuinely held (where they state opinions); and
comply with applicable law in the UK and in any country from which they are posted.
Contributions must not:
contain or promote any material which is defamatory of any person;
contain or promote any material which is obscene, offensive, hateful or inflammatory;
contain or promote sexually explicit material;
contain or promote violence;
contain or promote discrimination based on race, sex, religion, belief, nationality, disability, sexual orientation or age;
infringe any copyright, database right or trade mark of any other person;
be likely or intended to deceive any person;
be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
be threatening, abuse or invade another's privacy, or be likely or intended to cause annoyance, inconvenience or needless anxiety;
be likely to harass, upset, embarrass or alarm any other person;
be used to impersonate any person, or to misrepresent your identity or affiliation with any person;
give the impression that they emanate from us, if this is not the case; or
advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

Suspension and termination

We will determine in our absolute discretion whether there has been a breach of this acceptable use policy through your use of our site. When a breach of this policy has occurred, we may take such action as we deem appropriate.
Failure to comply with this acceptable use policy constitutes a material breach of the terms of website use upon which you are permitted to use our site, and may result in our taking all or any of the following actions:
immediate, temporary or permanent withdrawal of your right to use our site;
immediate, temporary or permanent removal of any posting or material uploaded by you to our site;
issue of a warning to you;
legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;

The Technology Strategy Board (“TSB”, "we", “us” or “our”) is committed to protecting and respecting the privacy of our website users, guests and visitors (“you”).

Information we may collect from you

We may collect and process the following data about you:
information that you provide by filling in forms on our site innovateuk.org & creativeindustriesktn.org ("our site"). This includes information provided at the time of registering to use our site, subscribing to our services, posting material or requesting further services. We may also ask you for information when you enter a competition or promotion sponsored by the Technology Strategy Board, and when you report a problem with our site;
if you contact us, we may keep a record of that correspondence;
we may also ask you to complete surveys that we use for research purposes, although you do not have to respond to them; and
details of your visits to our site including, but not limited to, traffic data, location data, weblogs and other communication data and the resources that you access.

Ip address and cookies
We may collect information about your computer, including where available your IP address, operating system and browser type, for system administration. This is statistical data about our users' browsing actions and patterns, and does not identify any individual.
For the same reason, we may obtain information about your usage of our site by using a cookie file which is stored on the hard drive of your computer. Cookies contain information that is transferred to your computer's hard drive. They help us to improve our site and to deliver a better and more personalised service. They enable us:
to estimate our audience size and usage pattern;

Disclosure of your information
We may disclose your personal information to third parties:
if the TSB or substantially all of its assets are transferred to another public body (for example, as a result of a change in the TSB’s corporate structure or a reallocation of public funding), in which case personal data held by the TSB about its customers will be one of the transferred assets; and/or
if we are under a duty to disclose or share your personal data in order to comply with any legal obligation, or in order to enforce or apply our terms of website use and other agreements; or to protect the rights, property, or safety of others. This includes exchanging information with other companies and organisations for the purposes of fraud protection and credit risk reduction.

Your rights

Access to information
The Act gives you the right to access information held about you. Your right of access can be exercised in accordance with the Act. Any access request may be subject to a fee of £10 to meet our costs in providing you with details of the information we hold about you.

News feed licence

Standard licence terms
By downloading a Technology Strategy Board (“TSB”) news feed ( "TSB Feed") from the TSB website at [insert website address] (“TSB Website”) and embedding it into another website, the TSB Feed user (“you” or “your”) agrees to be bound by the terms set out below (the "Standard Licence Terms"). For the avoidance of doubt, the Standard Licence Terms apply where you embed a TSB Feed into another website; they do not apply where you access TSB Feeds via a news reader, which is permitted.
These Standard Licence Terms may be updated by the TSB from time to time. Please review these Standard Licence Terms each time you download a TSB Feed.
Your download and/or use of a TSB Feed indicates your agreement to these Standard Licence Terms.

Licence
1.1 Subject to the terms of this Agreement the TSB grants you a non-transferable, non-sublicensable, royalty free, non-exclusive licence to display on your website ("Site") the headlines, active links or other source identifiers and other information or materials that you specifically select to receive from the TSB via the TSB Feed ("TSB Content").
1.2 All title, ownership rights and intellectual property rights in and to the TSB Feed shall remain the property of the TSB or, where applicable, its licensor.
1.3 Nothing in these Standard Licence Terms grants you any right to use the TSB logo on your Site or elsewhere.
Use of TSB content
2.1 You may not use any TSB Feed or display any TSB Content on any Site that is a website that is excluded by the TSB (scroll down for the list of excluded websites as may be amended by the TSB from time to time).
2.2 You must ensure that all TSB Content on your Site has an accreditation to the TSB in accordance with the TSB accreditation guidelines as may be amended by the TSB from time to time (scroll down for the TSB accreditation guidelines).
2.3 You may not directly or indirectly charge your Site users specifically for accessing TSB Content or otherwise commercialise such content, nor attempt to re-sell the TSB Content in any way.
2.4 Where possible you must create a functional link back to the TSB news story(ies) summarised by the TSB Content. If you are displaying the TSB Feed where a functional link back to the TSB is not possible, you must display on-screen the universal resource locator (“URL”) from which the TSB Content can be obtained (scroll down to the accreditation section below.) You may not directly or indirectly change, edit, add to or produce summaries of the TSB Content or any content on the TSB Website nor place any full-story TSB Content in an HTML frame-set.
2.5 You must not directly or indirectly suggest any endorsement or approval by the TSB of your Site or any non-TSB entity, product or content or any views expressed within your Site or service.
2.6 You must not misrepresent the relationship between the TSB and you nor present any false information about the TSB.
2.7 You acknowledge that the TSB has absolute editorial control over all TSB Content and you accept that the TSB is editorially independent and that the editorial integrity of the TSB Content is the sole responsibility of the TSB.
2.8 Should you receive any enquiries which relate to the TSB or the TSB Content you should promptly refer such enquiries to beacons@creativeindustriesktn.org.
Warranties & liability
3.1 You warrant to the TSB that:
3.1.1 you have fully complied with, and shall continue to comply fully with, all applicable laws and regulations;
3.1.2 the Site shall contain no material which is libellous, defamatory, pornographic, obscene or which brings the TSB into disrepute, or which is in breach of any third party intellectual property rights; and
3.1.3 users of your Site shall be required to comply with terms that are equivalent to the Standard Licence Terms in relation to their use of TSB Content.
3.2 The TSB Feed is made available by the TSB on an "as is" and "as available" basis and the TSB gives no warranty of any kind in relation to the TSB Feed, the TSB Content or any content on the TSB Website. The TSB disclaims all implied warranties, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility and accuracy regarding the TSB Content, the TSB Feed and the TSB Website and any content thereon.
3.3 To the maximum extent permitted by law the TSB excludes all liability to you for any loss or damage howsoever arising out of or in connection with this Agreement, including but not limited to any liability arising in relation to the TSB Feed, the TSB Content or any content on the TSB Website, any virus or other contamination or any unavailability of TSB Content.
3.4 Each provision of this Clause 3 operates separately and survives independently of the others.
Indemnity
You hereby agree to indemnify, hold harmless and defend the TSB in respect of all damages, costs and expenses, including reasonable legal fees and litigation expenses, arising out of or as a result of any breach of the Standard Licence Terms or otherwise in connection with your use of the TSB Feed (including the TSB Content).
Termination
5.1 You may terminate this Agreement and the licence granted herein at any time by destroying or removing all copies of the TSB Feed (including the TSB Content) from your Site, all hard drives, networks and other storage media.
5.2 The TSB may restrict, suspend or terminate the TSB Feed, this Agreement, the licence granted herein or your access to the TSB Feed at any time without liability. You agree to destroy all copies of the TSB Feed (including the TSB Content) upon receiving notice of termination from the TSB.
5.3 Clauses 3, 4 and 6 shall survive termination of this Agreement.
General
6.1 Neither party may assign, charge, sublicense or otherwise deal with its rights or obligations in this Agreement in whole or in part to any third party.
6.2 This Agreement supersedes all prior agreements, arrangements and understandings between the parties concerning its subject matter. Each of the parties acknowledges that it has not relied on any statement made by the other in the course of entering into this Agreement.
6.3 Any failure or delay by either party in exercising its rights under any provisions of this Agreement shall not be construed as a waiver of those rights at any time now or in the future.
6.4 This Agreement shall be governed by, construed and take effect in accordance with English law and the English courts shall have exclusive jurisdiction to settle any claim or dispute which may arise out of or in connection with this Agreement.
Excluded websites
The TSB Feeds and any TSB Content contained in the TSB Feeds may only be displayed on websites that do not fall into any one or more of the categories listed below. A site will be deemed to fall within one of the following categories where there is a material and prominent section of the site that falls within such category.
7.1 Sites that incite hatred whether based on race, religion, belief, gender, sexuality or otherwise, or promote, encourage or facilitate anti-social behaviour.
7.2 Sites that promote, encourage or facilitate violence.
7.3 Sites that promote, encourage or facilitate terrorism or other activities that risk UK national security.
7.4 Sites that discriminate against any specific social group or otherwise exploit vulnerable sections of society.
7.5 Sites that promote, facilitate or encourage illegal activity.
7.6 Sites which are misleading, pornographic, defamatory, or that contain illegal or otherwise actionable content under UK law.
7.7 Sites which infringe individual privacy.
Accreditation guidelines
8.1 Any TSB Feed or TSB Content on your Site must incorporate an attribution (credit) to the TSB in one of the following forms:
8.1.1 "From the Technology Strategy Board/insert website address" (delete as applicable); or
8.1.2 "This content/article is from the Technology Strategy Board/insert website address" (delete as applicable).
8.2 If you are displaying a TSB Feed in a context where a functional link back to the article on the TSB Website is not possible then you must use the following attribution (credit): ”From the Technology Strategy Board/insert website address” (delete as applicable).
8.3 You may not use any TSB logo or other TSB trade mark without signing a TSB trade mark licence agreement.
